These Terms and Conditions ("Terms") govern your access to and use of the Prompt Solutions Marketplace operated by Prompt Solutions LLC ("Prompt Solutions," "we," "us," or "our") at www.promptsolutions.shop (the "Platform"). By using the Platform, submitting an inquiry or application, or consenting to communications, you agree to these Terms.

1. About the Platform

Prompt Solutions Marketplace is a managed marketplace infrastructure and platform layer that hosts campaign-based outbound warming, qualification, and appointment-setting programs. The Platform connects independent 1099 callers with vendors and businesses under a governed, rules-based environment.

Prompt Solutions LLC is the platform operator and asset owner. Prompt Solutions does not engage in lead generation by default, and is not the primary seller of leads. The Platform provides marketplace infrastructure, campaign structure, routing logic, reporting standards, compliance oversight, and platform rules.

2. Eligibility

You must be at least 18 years old to use the Platform. By using the Platform, you represent and warrant that you have the legal capacity to enter into these Terms.

3. Independent Contractor Status

Callers who participate in the Prompt Solutions Marketplace do so as independent contractors, not as employees of Prompt Solutions LLC or any vendor. Nothing in these Terms or the Platform creates an employment relationship, partnership, or joint venture. Callers are responsible for their own taxes and compliance with applicable independent contractor requirements.

4. Platform Rules and Conduct

All platform participants agree to:

  • Comply with all applicable federal, state, and local laws, including telemarketing regulations (TCPA, TSR, FCC rules), Do Not Call requirements, and state-specific calling laws
  • Comply with all campaign-specific rules, calling windows, geography restrictions, and outcome criteria defined in the applicable campaign documents
  • Maintain accurate records and provide truthful information in all platform submissions
  • Refrain from circumventing platform rules, payment structures, or non-circumvention protections
  • Protect the confidentiality of campaign materials, vendor information, and platform proprietary content

5. SMS Communications Disclosure

By submitting your phone number on any form at www.promptsolutions.shop and checking the SMS opt-in checkbox, you expressly consent to receive text messages (SMS) from Prompt Solutions LLC regarding the following: marketplace inquiries, account or application status, caller onboarding, vendor onboarding, campaign participation, scheduling, and platform support.

Message frequency varies. Message and data rates may apply.

To opt out at any time, reply STOP to any SMS message from us. You will receive one confirmation message and then no further messages. To request help, reply HELP or contact us at [email protected].

Opting out of SMS will not affect your ability to use the Platform or receive email communications.

Your mobile opt-in consent and phone number will not be shared with third parties for their marketing purposes. See our Privacy Policy for full details.

6. Prohibited Content

The Platform does not support, facilitate, or permit campaigns involving: CBD, cannabis, sexually explicit content, hate speech, alcohol (unless licensed and compliant), firearms, or tobacco. Any campaign determined to involve prohibited content will be immediately suspended.

7. Payments and Payout

Payout terms, recognition criteria, acceptance/rejection rules, payout amounts, and settlement paths are defined in campaign-specific documents (including the applicable Master IC Agreement, Campaign Addendum, and Campaign Schedule). General defaults apply unless signed campaign documents specify otherwise. Prompt Solutions reserves the right to withhold or adjust payout for recognized violations, duplicate outcomes, fraud, or dispute resolution per applicable campaign terms.

8. Intellectual Property

All platform infrastructure, routing logic, payout logic, agreement structures, reporting standards, and proprietary methodology are owned by Prompt Solutions LLC. Nothing in these Terms grants you ownership of or license to any Prompt Solutions intellectual property beyond the limited right to use the Platform as described herein.

9. Disclaimer of Warranties

The Platform is provided "as is" without warranty of any kind, express or implied. Prompt Solutions does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

10. Limitation of Liability

To the maximum extent permitted by law, Prompt Solutions LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, regardless of cause or theory of liability.

11. Governing Law

These Terms are governed by the laws of the applicable jurisdiction in which Prompt Solutions LLC is registered, without regard to conflict of law principles.

12. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
